CalAmp has adopted a code of business conduct and ethics for directors, officers (including CalAmp’s principal executive officer, principal financial officer and controller) and employees, known as the Code of Business Conduct and Ethics. CalAmp also has adopted Corporate Governance Guidelines, which, in conjunction with the Certificate of Incorporation, Bylaws and Board Committee Charters, form the framework for governance of CalAmp. CalAmp may make changes to its policies and procedures in the future as the Board of Directors deems appropriate in the best interests of the CalAmp, or as required by applicable laws and regulations.

  • CalAmp’s telematics technologies and solutions empower our global customers to minimize their environmental footprints, by helping them increase fuel efficiency, reduce fuel consumption, lower CO2 emissions, optimize routes with less miles being driven, reduce engine idling and aggressive driving, and maintain optimal vehicle engine performance. Our technologists continue to pioneer innovative technologies and solutions to support the sustainability of businesses of all sizes. Here are just a few examples of how we help protect the environment and build a green economy:
  • We partnered with Swiftmile, a pioneer in light electric vehicle charging systems, to deliver the first solar-powered parking and charging stations for the burgeoning micro-mobility market. The stations, integrated with CalAmp telematics cloud services, will capture telematics data from most major electric scooters (e-scooters) and electric bikes (e-bikes) to improve micro-mobility management, reduce traffic congestion, and minimize the carbon footprint for environmentally conscious municipalities and enterprises.
  • We partnered with OjO Electric for an e-scooter sharing program focusing on safety and more sustainable last-mile transportation through collaborations with local municipalities to ensure OjO e-scooters are safe for riders, as well pedestrians, with speed reduction alerts and fleet management capabilities to provide a transit solution that reduces urban litter, keeps citizens safe on the roads, and reduces traffic congestion.
  • Our customer, Lansing, Michigan’s publicly owned Board of Water & Light (“BWL”) turned to CalAmp for its fleet management solution. BWL’s initial estimate of field worker productivity projected that the implementation of our solution could result in gains of more than 2% through the automation of work assignments, outage management, time reporting and other factors. This gain of approximately 10 minutes per technician per day, translates into a projected potential cost savings of over $750,000 in the first year of service, increasing to $2.5 million in the third year. BWL estimated that fuel cost reductions of up to 30% percent, or $12,000/month—an annual savings of $144,000—through increased scheduling and routing efficiency.
  • Under the California Electronic Waste Recycling Act of 2003 (known as SB20), CalAmp collects a fee from the consumer at the time of purchase to reimburse registered collectors and recyclers for the electronic devices that they collect and recycle in California.
  • Under California Proposition 65, officially the Safe Drinking Water and Toxic Enforcement Act of 1986, we provide warnings to California consumers when they might be exposed to chemicals identified by the State of California as causing cancer or reproductive toxicity. The warnings are intended to help California consumers make informed decisions about their exposures to these chemicals from the products they use.

Beginning in calendar year 2013, we implemented a conflict minerals program that includes due diligence measures which are consistent with the Organisation for Economic Co-operation and Development Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas. Since 2014, we have filed a Conflict Minerals Report annually with the U.S. Securities and Exchange Commission.

It goes without saying that the world has fundamentally changed in many ways. The impact of COVID-19 will reverberate for years to come, and many parts of the world are still struggling to contain the virus. Our hearts go out to them. Recent Highlights

We have incorporated social responsibility and environmental sustainability into our practices for many years. This report details our company’s priorities, processes and achievements related to these goals. CalAmp is committed to CSR as a fundamental element in the company’s ongoing success. We believe that corporate effectiveness and doing right by the world we inhabit are complementary factors. We also believe that our behavior and the decisions we make from a business standpoint and as individuals can greatly impact society for the better.

People and Community

CalAmp employees are integral to the success of the company and to achieving our CSR goals. With over 950 employees at locations around the world, and 150-200 new personnel hired each year, communication is essential, and we have instituted numerous avenues of two-way communication that helps ensure engagement and responsiveness.

Planet and Environment

Every action has an impact on the world around us, to some degree. CalAmp’s connected vehicle solutions not only reduce costs for fleet operators, but they also result in safer roads and less fuel consumption (which, by extension, results in fewer greenhouse gases being produced). Additionally, at every opportunity, we look for ways to reduce waste, both in our manufacturing partners’ processes and for customers. Not only does this result in greater cost-effectiveness but significantly less impact on the environment.

Metrics & Measurement

Every day, we strive to reach higher standards for corporate social responsibility. It’s essential, therefore, that we measure and compare where we have been and where we are today, to identify both our successes and challenges as we evolve and enhance our environmental and social programs.

Looking Ahead

Environmental and social responsibility is part of CalAmp’s DNA. The programs and protocols we follow today are intended to evolve and grow to better reflect our changing business objectives and our continuing role in society as developers of solutions that improve road and driver safety and efficiency as well as the changing needs of our employees, the communities we affect and the world as a whole.

Henry J. Maier
President And CEO, FedEx Ground

Henry J. Maier was appointed a director of CalAmp in June 2021. He currently serves as president and CEO of FedEx Ground – a position he has held since June 2013. He also serves on the Strategic Management Committee of FedEx Corp., which sets the strategic direction for the FedEx enterprise.

Maier has over 40 years of experience in the transportation industry, including more than 30 years at FedEx companies. His FedEx career includes various leadership positions in logistics, sales, marketing and communications. Immediately prior to his current position, he was an executive vice president of FedEx Ground and responsible for all the company’s strategic planning, contractor relations and corporate communications programs.

Originally from Texas, Maier graduated from the University of Michigan with a bachelor’s degree in economics. In addition to the CalAmp Board, he also serves on the Board of Directors of transportation holding company Kansas City Southern (NYSE: KSU) and e-commerce parts company CarParts.com (NASDAQ: PRTS).

Scott Arnold was appointed a director of CalAmp in June 2019. He currently serves as President and CEO of AuditBoard, a SaaS provider that empowers enterprises to identify and manage risk so that businesses are able to thrive. Most recently, Arnold served President, Shutterfly Enterprise, a division of Shutterfly that in 2019 was acquired by Apollo Global Management.

Prior to Shutterfly, he served from May 2013 to April 2016 as president and CEO at AppSense, a leading provider of user environment management solutions enabling a productive, secure workspace. Prior to joining AppSense, from July 2007 to August 2012, Arnold held the roles of COO and then president and CEO of MarketTools, Inc., a Software as a Service (SaaS) market research company. From November 2003 to November 2005, he was COO and Interim CEO of Borland Software, a software company that facilitates software development projects.

Prior to his operating roles, Arnold was a partner at McKinsey & Company where he served clients across technology and telecom industries and helped build the Firm’s practice in Silicon Valley. Arnold currently serves on Duke University’s Pratt School of Engineering Board of Visitors, and holds a BS degree in Electrical Engineering from Duke and an MBA degree from the Stanford Graduate School of Business.

Jason Cohenour was appointed a director of CalAmp in June 2019. Cohenour served as the president, CEO and director of Sierra Wireless, Inc. from 2005 until June 2018, and held other senior management positions with that company, including COO, from 1996 until 2005. He also served as a director of Ikanos Communications, Inc. from 2014 until August 2015, when that company was acquired by Qualcomm, and Epic Data International, Inc. from 2004 to 2010.

Cohenour has a BS degree in Business Administration from the University of Rhode Island.

Jeff Gardner was appointed President and CEO of CalAmp in July 2020, and has been a member of the Board of Directors of the company since January 2015. He served as Interim President & CEO from March 25, 2020 until July 2, 2020. Previously, he served as the president and CEO of Brinks Home Security. He also serves as a director of Qorvo, Inc., the holding company under which RF Micro Devices, Inc. and TriQuint Semiconductor, Inc. were combined in 2014.

Gardner had been a member of the board of directors of RF Micro Devices, Inc. since 2004. In addition, from 2005 until 2015, he was a member of the board of directors of Windstream Holdings, Inc., a leading provider of advanced network communications and technology solutions, including cloud computing and managed services to businesses nationwide. From 2005 to 2014, Gardner also served as the president and chief executive officer of Windstream. Before joining Windstream, he served as executive vice president and chief financial officer of Alltel Corp. Earlier, he held a variety of senior management positions at 360 Communications, which merged with Alltel in 1998.

Gardner received a bachelor of arts degree in finance from Purdue University and a master’s degree in business administration from The College of William and Mary.

He is currently an NACD Board Leadership Fellow and NACD Governance Fellow, and he previously served on several national associations including the Business Roundtable and the United States Telecom Association.

Wes Cummins was appointed as a director of CalAmp in June 2022. He currently serves as President of B. Riley Asset Management, LLC, the institutional asset management arm of B. Riley Financial, Inc. (Nasdaq: RILY). He also serves as Chief Executive Officer and Chairman of Applied Blockchain (Nasdaq: APLD).

Previously, Cummins served as CEO of 272 Capital, a registered investment advisor that focuses primarily on technology investments, which he formed in 2020. He sold 272 Capital to B. Riley Financial in 2021, during which time he was appointed as President of B. Riley Asset Management. Prior to forming 272 Capital, he spent eight years as a senior investment professional at Nokomis Capital focused on the TMT sectors.

Cummins brings more than 20 years of experience as a technology investor to the CalAmp board, in addition to extensive prior board and leadership experience. He previously served as a member of the board of directors of Sequans Communications, Vishay Precision Group and Telenav, Inc.

Roxanne Oulman was appointed director of CalAmp in August 2018. She currently serves as the CFO of Medallia, Inc., a privately held Software as a Service (SaaS) company that she joined in November 2018.

Previously, she served as CFO of CallidusCloud, a publicly held SaaS company, from November 2016 until September 2018. From May 2013 to November 2016, Oulman held financial leadership positions at CallidusCloud, which was acquired by SAP in April 2018. From 2011 to 2013, Oulman served as an Interim Chief Financial Officer at Thoratec Corporation, a biomedical device company, and from 2004 to 2011 she held several other financial leadership positions at Thoratec Corporation. From 1999 to 2004, Oulman was a general manager and western regional controller at Zomax, Inc., a logistics and supply chain company.

Oulman has a BS degree in Accounting from Minnesota State University, Mankato and an MBA degree from University of the Pacific—Eberhardt School of Business.

Strategic Advisor To Hewlett Packard Enterprises And Former President, CEO And Director, Silicon Graphics International Corporation

Jorge Titinger was appointed to CalAmp’s board of directors in June 2015. He served as president, CEO and director of Silicon Graphics International Corp. from February 2012 until the acquisition of that company by Hewlett Packard Enterprise in November 2016, and currently serves as strategic advisor to HPE.

Titinger served as president, CEO and board member of Verigy Ltd. from January 2011 until October 2011, as president and COO from July 2010 to January 2011, and as COO from June 2008 to July 2010. Verigy was acquired by Advantest Corporation in July 2011 and he continued to serve in a transitional role following the acquisition until October 2011 as president and CEO of Verigy, then a subsidiary of Advantest Corporation. Prior to his service at Verigy, he held executive positions at FormFactor, Inc. from November 2007 to June 2008 and KLA-Tencor Corporation from December 2002 to November 2007. He also serves on the board of Xcerra Corporation.

Titinger holds BS and MS degrees in electrical engineering and an MS degree in engineering management, all from Stanford University.

Kirsten Wolberg was appointed director of CalAmp in August 2020. She served as chief technology & operations officer at DocuSign and is a current Board Director of SLM Corporation and Sallie Mae Bank. She brings over two decades of experience in technology management, information systems and operations from Fortune 500 software industry leaders including PayPal, salesforce.com and Charles Schwab.

At DocuSign Wolberg helped successfully execute the IPO in April, 2018 and supported the product expansion from a single e-signature product to a multi-product DocuSign Agreement Cloud platform. As vice president of Technology at PayPal, she led the digital transformation that unlocked product innovation and execution velocity. She was the principal executive leading the PayPal separation program as part of the eBay/PayPal tax-free split. Prior to PayPal, Wolberg was chief information officer at salesforce.com where she honed core capabilities in developing, implementing and running cloud technologies to support rapid growth. Before joining salesforce.com, Wolberg spent seven years at Charles Schwab & Co., Inc., where she led the turnaround and restructuring of Schwab Technology. Earlier in her career, she held several product development, operations and consulting positions in the FinTech and payments industry.

Kirsten holds a BS degree in Business Administration from the University of Southern California and an MBA degree from the J.L. Kellogg Graduate School of Management at Northwestern. Kirsten is also a graduate of the Stanford Graduate School of Business Directors Consortium program.
